When required, the Mergers and Acquisitions practice group and the Tax team can conduct interrelated tax and accounting reviews simultaneously.

FERRERE’s specialists handle processes for authorization of transactions by regulatory and antitrust authorities. They also structure and draft purchase contracts, shareholder agreements, financing and other agreements related to the sale of companies, based on the client’s business needs. Frequently the Mergers and Acquisitions practice group functions as a dynamic coordinator of pre-deal negotiations, or interacts with other international law firms.

It as recently been involved in dozens of transactions, including ExxonMobil’s acquisition from Total of an interest in an offshore oil and gas exploration block in Uruguay, Parmalat’s purchase of dairy company Algil’s Uruguayan subsidiary, sale of Israel Discount Bank to Scotiabank, and purchase by Ontario Teacher’s Pension Plan Board (OTPP) and Public Sector Pension Investment Board (PSP) of part of Banco Santander’s renewable energies sector. It also advised Owens-Illinois, the world’s largest glass manufacturer, on acquisition of the food and beverage packaging unit of the Mexican company Vitro for USD 2.15 billion in Bolivia. Multinational clients like Vale and Petrobras have relied on FERRERE for multi-million dollar regional acquisitions on which the firm’s offices in Paraguay and Uruguay worked simultaneously.
